DEED EMBODYING TRANSFER OF POSSESSION

THIS DEED EMBODYING THE TRANSFER OF POSSESSION IS MADE ON THIS ___________ DAY OF ______________ MONTH ____________YEAR/A.D

 

Sri/Smt _________________, son/daughter/wife of _______________, _______ by religion, _________ by occupation, resident of _______________________ P.O. & P.S. ____________ in the district of _______________ hereinafter called the “TRANSFEROR” (which name and expression shall mean and include unless excluded by or repugnant to the context his heirs, successors, executors, administrators, representatives and assigns) of the ONE PART.

M/s. ______________________ a private limited company, registered under the Companies Act, 1956, having it’s registered office at _________________P.O. & P.S. _______________, District ____________ and branch office at _______________ P.O. & P.S. __________________, Dist ______________, represented by one of it’s Directors Sri/Smt _________________, Son/Daughter/Wife  of ___________________ resident of _____________ P.O. & P.S. _________________ Dist ________________ hereinafter called the “TRANSFEREE” (which name and expression shall mean and include unless excluded by our repugnant to the context be deemed to include it’s directors, executors, successors-in-office, administrators, representatives and asigns) of the OTHER PART.

 

WHEREAS Sri/Smt______________ son/daughter/wife of ______________(the transferor herein) is the owner-in-possession of the below schedule land since long.

 

                                                                                   - A N D -

 

WHEREAS the Transferor being in need of money to invest in some profitable venture circulated his intention to transfer the possession of the said land in favour of the interested person’s.

 

 

                                                                                   - A N D –

 

WHEREAS the Transferee herein learning about such intention of the Transferor herein and being in need of property suitably located, approached the transferor herein and offered to take possession of the below scheduled land at or for a total consideration of Rs. _______________ (Rupees in word) Only free from all encumbrances and charges whatsoever.

WHEREAS the Transferors considering the offer of the Transferee as reasonable and in consonance with the prevailing value, agreed to transfer the possession of the below scheduled land in favour of the Transferee, free from all encumbrances.

WHEREAS in order to avoid all disputes and differenced that may crop up between them in future, the parties hereto deemed it expedient to record the terms and conditions agreed upon between them in a deed embodying the transfer of possession

 

NOW THIS DEED WITNESSETH AS FOLLOWS :-

1.       That the transferee has this day paid to the transferor the consideration money of Rs. _________________ (Rupees in word) only receipt whereof is admitted and acknowledged by the Transferor herein.

 

2.       That the Transferor shall immediately after the signing of this deed deliver vacant, valid possession of the below scheduled land in favour of the transferee, free from all encumbrances.

 

3.       That the Transferor shall do all further acts that is or become necessary to fully and effectually ensure the transfer of possession of the below scheduled land in favour of the Transferee.

 

4.       That the Transferor or his legal heirs/successors and/or any person/s claiming under or through him shall not be entitled to claim and/or recover possession of the said land from  the Transferee and/or his legal heirs/successors.

5.       That the Transferee shall be entitled to insert his name as lawful possessor of the  below scheduled land in the records of the authority concerned in present or in future, if requires.

 

6.       That in future, if the schedule below land acquires by the appropriate authority, in that event the Transferor or his legal heirs/successors shall not claim the compensation amounts from the transferee or from the authority concerned.

 

SCHEDULE OF THE LAND

 

All that piece or parcel of land measuring about _______ acre situated at Mouza__________, Pargana ____________ B.L. & L.R.O., Police Station and Addl. Dist-Sub-Registry office at ________________, Dist- ____________ J.L.
